In what scenario would an attacker choose not to Counter Attack if he was allowed to?

I think I know...

If a counter attack could cause a force retreat, the attacker/defender  may choose not to do it. As, he may have better plans up his sleeve for the target unit.

Not sure if you ment this the way I read it but An Attacker who attacks & the defender Counter Attacks can't in turn Counter Attack,the Counter Attacker.

Counterattack is optional in rules

I'm pretty sure it's because it can force a retreat.
